(a) In the course of performing services for RPE Consulting under this Agreement, Contractor may receive or have access to commercially valuable technical and non-technical confidential or proprietary information (“Confidential Information”).  Confidential Information means all information, whether oral or written, now or hereafter developed, acquired or used by RPE Consulting, and relating to the business of RPE Consulting that is not generally, known to other, in RPE Consulting’s area of business, including without limitation (i) RPE Consulting’s marketing material, advertising, pricing, strategic and business plans and information; (ii) RPE Consulting’s financial statements and other financial information; and (iii) RPE Consulting’s Customer’s Confidential Information.

(b) Contractor acknowledges and agrees that the Confidential Information is and will be the sole and exclusive property of RPE Consulting. Contractor will not use any Confidential Information for Contractor’s own benefit or disclose any Confidential Information to any third party (except in the course of performing contractor’s authorized services for RPE Consulting under this Agreement), either during or subsequent to Contractor’s engagement with RPE Consulting.  Upon termination of Contractor’s engagement with RPE Consulting, Contractor will promptly deliver to RPE Consulting all documents, computer disks and other computer storage devices, computer printouts, manuals and other papers and materials (including all copies thereof in whatever form) containing or incorporating any Confidential Information or otherwise relating in any way to RPE Consulting’s business that are in Contractor’s possession or under Contractor’s control.

(c) Contractor acknowledges that RPE Consulting expects Contractor to respect and safeguard any Confidential Information of any former employers or other persons from whom such information was obtained and hereby acknowledges RPE Consulting’s express direction not to disclose any of such information so long as it remains confidential.

(d) Contractor acknowledges that RPE Consulting expects Contractor to respect and safeguard any Confidential Information of any current or former customer from whom such information was obtained and hereby acknowledges RPE Consulting’s express direction not to disclose to RPE Consulting’s, its offices or employees, any of such information so long as it remains confidential.
